DROP SHIPPING TERMS AND CONDITIONS

Please read these terms and conditions before placing your orders. We advise that you print a copy of these terms and conditions along with your orders for future reference.

THIS IS LEGALLY BINDING AGREEMENT BETWEEN YOU AND REAKIRO ( www.cbdreakiro.com )

BY SUBMITTING AN APPLICATION TO JOIN YOU ARE CONFIRMING THAT YOU HAVE READ THIS AGREEMENT AND THAT YOU AGREE TO BE RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.

This DROP SHIPPING TERMS AND CONDITIONS ("Agreement") contains the complete terms and conditions between us, REAKIRO POLAND Sp. z o.o., a company organised under the laws of Republic of Poland with the company number KRS 0000714297, having its registered address ul. Pl. Jana Kilińskiego 2, 35-005 Rzeszów, Poland (“We” or “Reakiro”), and you (“You” or “Customer”), regarding your application to and participation in, Reakiro Drop Shipping Program (the “Drop Shipping Program”).

1. Definitions

“Dropshipping Program” -  drop shipping is a retail fulfilment method in which You do not keep goods in stock but instead directly transfers End Customer orders and shipment details to Reakiro who then ships the goods directly to the End Customer;

“End Customer” – the customer, who is buying from Your store and paying You for the products, and is the receiver of those Products;

“Website” – means Your website, marketplace, online shop, landing page or other, which are used for selling and/or presentation and/or promotion of goods.

 

2. Drop Shipping Account

Reakiro Drop Shipping only deals with customers that have a Website (as defined in the Definition section above). Any accounts opened for purchasing items for personal use will be cancelled immediately.

When registering for a drop shipping account, please provide all required information within the application form. Your account will not be approved unless all information is filled in.

We may reject Your application if we determine (in our sole discretion) that Your Website is not suitable for the Drop Shipping Program, including if it:

 

promotes sexually explicit materials, violence, illegal activities, discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion.

Also, we may terminate Your application if Your Website incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law and contains software downloads that potentially enable diversions of commission from other affiliates in our program. Once Your application has been confirmed by Reakiro You will receive a unique promo code that gives You the possibility to use discounts as set in the clause 3 below.

Also we will send You the link to our approved promotional materials, descriptions, images. All these promotional materials may contain Reakiro trademarks, logos and slogans, by entering in this Agreement we grant You a non-exclusive, limited and non-transferable license to access, download and place the approved promotional material on Your Website with the sole purpose to promote Reakiro’s products.

 

If by the decision of any party the Drop Shipping Agreement is terminated, upon termination your non-exclusive, limited and non-transferable license to access, download and place the approved promotional materials of Reakiro will be immediately and automatically withdrawn.

In order to maintain branding and consistency it is very important we stick to single accounts with Reakiro or SOOL name. You are not allowed to use "Reakiro" or "SOOL '' trademarks names in the names of your social media pages (for example, reakiro_uk, soolcbd, etc.) or your website as the domain name.

Multiple accounts can lead to customer confusion. Violation of this clause will lead to the termination of Your participation in our drop shipping program.

This Agreement applies to all goods supplied by Reakiro. All orders placed on Reakiro products advertised on our website are considered an offer for You to purchase the items selected in Your order.

 

No contract exists between us until we have received and accepted Your order.

Reakiro reserves the right to cancel the contract of sale if the payment for orders is not received in full.

 

3. Dropshipping discounts

Your unique promo code gives You the right to use our special discounts. Just apply promo code in the cart on checkout process.

Reakiro offers the following discounts based on sales per month:

From 1 to 1,999 Euro per month	30% from RRP
from 2,000 Euro per month	35% from RRP
from 4,000 Euro per month	40% from RRP
from 6,000 Euro per month	45% from RRP
from 8,000 Euro per month	50% from RRP

Based on the sales result of the previous month we will automatically update your applied discount. You don’t need to receive a new promo code.

Please note that Reakiro offers FREE SHIPPING on each order over 65 EUR with the GLS delivery option only.

Before You place the order please read our shipping policy here to find out whether we ship to the country of destination or not.

You are free to fix your own resale prices. We may recommend you RRP. The price you charge for each item will be left solely to Your discretion.
        
        4. Placing an order 

In order to place an order You need:

1) to visit our site https://cbdreakiro.com/;

2) to choose products and put them into the cart;

3) apply Your promo code and product prices will be automatically changed;

On checkout process you will need to provide the following information:

- Your billing address information: Your full name, Your e-mail registered in Reakiro Drop Shipping program, Your phone number, Your payment address;

- Shipping address information of the End Customer (or Your address, if You want to deliver products directly to You).

Then You will be redirected to the payment page, where You need to enter details of Your card to proceed with the payment.

Once your transaction is successful You will receive from us order confirmation e-mail.

PLEASE NOTE: If You want us to deliver directly to Your End Customer please send us an invoice of Your store in the reply to our Order confirmation email. Otherwise, Your order will be sent without a printed invoice.  

We will put Your Website invoice to the box with the ordered products.  Our manufacturing facility shall be transparent in the shipping process (i.e. each package sent to the End Customer will appear to have come from You directly).

We are not involved in the actual transaction between You and the End Customer.  In the event of goods shipped to an address other than Yourself, we have no contract between the receiver of these goods (your End Customer) and ourselves. In this case, we cannot mediate any aspect of the sale between yourself and the End Customer of the goods shipped.

When You place an order You are confirming You have read and agreed to the terms, conditions and delivery times laid out in writing in this document.

5. Payment

Items will not be shipped until the payment is received by the Reakiro (usually a 24-hour turn around time). The payments shall be made by card. Reakiro uses third-party services for processing payment. You may read more here.

6. Sales and Tax

You agree that it is Your sole responsibility to collect, report and remit all taxes to the correct tax authority for all business transactions, sales or revenue stemming from the sales of the Reakiro’s products. You further agree that Reakiro is not obliged to determine whether a sales tax applies and is not responsible to collect report or remit any tax information arising from any transaction.

7. Order cancellation

Changes can be made on the same day prior to dispatch by contacting us via email info@reakiro.com

However, if an order has been dispatched, the cancellation will not be allowed.

8. Shipping

 

Your End Customer is responsible for the order once the package arrives at the supplied delivery address. We cannot be held responsible if the package goes missing once delivered. If any goods are received damaged, your End Customer must notify You within 48 hours of receiving them or other period specified by You in Your policy.

Reakiro must then be notified within 72 hours after the expected delivery time. If any goods are received faulty You must notify us within 7 days of receiving them. Please see the returns procedure in section 9 for more details.

We cannot be held responsible for goods that do not arrive to the End Customer due to errors made by the customer or by You when entering the address details.

Please ensure that You check all your details before confirming Your order.  

We may not refund money for not shipped orders due to incorrect addresses.

 

9. Returns Procedure

 

Reakiro will provide a 14-day return policy during which You may return an item that is undamaged, no used (at Your own expense). Reakiro will also provide a return/refund policy for any damaged or defective items as long as any claims are placed within the agreed upon 14 days of the item being received.  

10.   Personal data protection

Reakiro is in no way responsible or liable for the personal data of the End Customers collected, controlled and processed by You. 

You shall be liable to ensure that personal data is collected on legal basis under Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) (Official Journal of the European Union No 119, p. 1), with the consent of the End Customers and shall represent in Your internal policies possibility to share personal data with Reakiro.

Reakiro shall use personal data for shipping purposes and process such personal data for the purposes related to the accountability of Reakiro’s activities, to which Reakiro obliged by the provisions on personal data protection. For the avoidance of doubt, You is the controller for personal data of End Customers.

 

11. Responsibility

Reakiro is in no way responsible or liable for the success of Your website, the accuracy, or the legality of its content and operation. Further, You have independently evaluated the desirability of participating in the Drop Shipping Agreement and are not relying on any representation, guarantee or statement other than set forth in this agreement.  However, the success of Your Website, the accuracy, or legality of its content and operation is only Your sole responsibility.

12. Claims 

If You become aware of any claim or potential claim in respect of defective products arising from the delivery of any products, please immediately inform Reakiro providing all necessary information/documentation to enable Reakiro to take any appropriate action.

 

13. Severability

 

If any provisions or sections of this Agreement shall be deemed unlawful, void or for any reason unenforceable, then that provision or section shall be deemed severed from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions.        

14. Amendments

 

We remain the right to change any policies or terms of this Agreement. The amendments and/or supplements of the Agreement are effective immediately upon being posted to Reakiro website. The current Terms and Conditions are always available publicly on Reakiro’s website. If by any means you do not agree with the amendments and/or supplements of the Affiliate agreement, you can terminate the agreement by the termination process.

15. Miscellaneous

 

You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Reakiro.

You will have no authority to make or accept any offers or representations on our behalf.

You will not make any statement, whether on Your site or any other of Your site or otherwise, that reasonably would contradict anything in this Agreement.

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Poland.
